Term and Limitations of Agreement

This Non-Compete and Non-Solicitation Agreement ("Agreement") is between you and Dtour Productions, Inc (“the Company”).

The Agreement is effective as of the day of your agreement. Your agreement is in consideration of the staffing opportunity provided by Dtour Productions, Inc., you agree to the following:

This Agreement is not a contract of employment. Neither Employee nor the Company is obligated to any specific term of employment. This Agreement is limited to the subject matter of covenants not to compete or solicit as described in this Agreement.

Covenant Not to Compete

You agree that during the term of your assigned staffing with Dtour Productions, Inc., you will not engage in any business activity which is competitive with the services of Dtour Productions, Inc., nor work for any potential client from an event that you will not have been present at if not for the opportunity provided by Dtour Productions, Inc. as that action would compete with Dtour Productions, Inc.

Non-Solicitation & Soliciting After Assigned Gig

You agree not to solicit any staff or independent contractor of Dtour Productions, Inc., on behalf of any other business enterprise, nor shall you induce any other staff or independent contractor associated with Dtour Productions, Inc., to terminate or breach an employment, contractual or other relationship with Dtour Productions, Inc.

For a period of year(s) following the termination of your staffing at any event related to Dtour Productions, Inc., you shall not, directly or indirectly, disclose to any person, firm or corporation the names or addresses of any of the customers or clients of Dtour Productions, Inc., or any other information pertaining to them. Neither shall you call on, solicit, take away, or attempt to call on, solicit, or take away any customer of Dtour Productions, Inc., on whom you have called or with whom you became acquainted with during the term of your staffing, as a direct or indirect result of your staffing with Dtour Productions, Inc.

You hereby acknowledge that you may (1) be terminated from contractor records and further be removed from future staffing opportunities should you breach the obligation under this Agreement; and (2) that monetary damages will be inadequate to compensate Dtour Productions, Inc., for such a breach.

Entire Agreement and Waiver

This Agreement contains the entire agreement between the parties with respect to the subject matter of this Agreement. The Agreement supersedes all prior understanding, agreements, or representations.

Any waiver of a default under this Agreement must be made in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement. No delay or omission in the exercise of any right or remedy shall impair such right or remedy or be constructed as a waiver. A consent to or approval of any act shall not be deemed to waive or render unnecessary consent to or approval of any other or subsequent act.

Jurisdiction and Venue

This Agreement is to be construed pursuant to the laws in the State of California. Employee agrees to submit to the jurisdiction and venue of any court of competent jurisdiction in California without regard to conflict of laws or provisions, for any claim arising out of this Agreement.

The Independent Contractor’s written agreement acknowledges that he or she has read and understands the foregoing Agreement, that they agree to comply with all of the terms of the Agreement.
